1. Acceptance of Terms
By accessing or using the services of Centurion Payment Services (CPS), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
CPS provides credit card processing, merchant account services, payment gateway solutions, and related services. The specific services provided to you are governed by your Merchant Processing Agreement, which is incorporated by reference into these terms.
3. Merchant Responsibilities
As a merchant, you agree to: (a) provide accurate and complete information in your application; (b) comply with all applicable laws and card network rules; (c) maintain PCI DSS compliance for your systems; (d) promptly notify CPS of any changes to your business or processing patterns; and (e) not use CPS services for prohibited or illegal activities.
4. Fees and Rates
Fees are outlined in your Merchant Processing Agreement. CPS guarantees the lowest rates available through our processor partnerships. Rates may be reviewed quarterly and adjusted based on processing volume and risk profile, with advance notice provided.
5. Chargebacks
Merchants are responsible for chargebacks resulting from their transactions. Excessive chargeback ratios may result in additional fees, reserve requirements, or termination of services in accordance with card network rules.
6. Limitation of Liability
CPS shall not be liable for indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability shall not exceed the fees paid by you to CPS in the three months preceding the claim.
7. Termination
Either party may terminate services with 30 days written notice. CPS may terminate immediately for violations of these terms, card network rules, or applicable law.
8. Governing Law
These terms are governed by the laws of the State of Florida. Any disputes shall be resolved in the courts of Palm Beach County, Florida.
